Terms of Service

1. Who we are

ReplyRate is operated by ReplyRate Ltd, a company registered in England and Wales. Contact: hyder@replyrate.ai

2. About the service

ReplyRate ("the service") is a software tool that helps users score and improve cold emails, generate CVs and cover letters, prepare for interviews, find contacts, and track job applications.

3. Eligibility

You must be 18 years of age or older to use ReplyRate. By creating an account you confirm you meet this requirement.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect any unauthorised access.

5. Credits and billing

ReplyRate is pay as you go. AI features are priced in credits at 1 credit = 1p (GBP); the price of each action is stated on the pricing page. New accounts start without any credits and no card is required during onboarding; credits are purchased as one-off top-ups processed by Stripe. Credits never expire, are non-transferable, and are redeemable only against ReplyRate features. Subscribers whose plan predates the credits model keep the access level they purchased.

5.1 Legacy subscriptions

If you hold a legacy monthly subscription, it renews each month at the price you signed up at until you cancel. You can cancel at any time via Settings > Account in your dashboard, or by emailing hyder@replyrate.ai.

5.2 Refunds

You may request a refund of a credit top-up within 7 days of purchase, provided the credits are unused, by emailing hyder@replyrate.ai. For legacy subscriptions, the existing 7 day first-charge refund window continues to apply. Refunds beyond these windows are at our discretion and only granted in exceptional circumstances.

5.3 Price changes

We may change credit prices or the credit cost of individual features with at least 30 days' notice by email or on the pricing page. Price changes never devalue credits you already hold: a purchased credit remains a credit. Continued use after a price change constitutes acceptance.

6. Acceptable use

You agree not to:

• Use the service for unlawful purposes
• Send spam, harassment, or fraudulent communications via tools enabled by ReplyRate
• Attempt to bypass usage limits, security controls, or rate limits
• Reverse-engineer or copy any part of the service
• Use the service to scrape or harvest contact data beyond what our Researcher Agent provides
• Resell or sublicense the service without our written permission

7. Intellectual property

ReplyRate retains all rights to the service, including code, design, branding, and documentation. You retain all rights to any content you submit (e.g. your CV, your cover letter drafts).

8. Data and privacy

Our handling of your personal data is described in our Privacy Policy. By using the service you consent to data processing as set out there.

9. Third-party services

ReplyRate integrates with third-party services (Stripe, Firebase, OpenAI, Anthropic, Apollo.io, Hunter, Jina, PostHog, Vercel). Use of these services is subject to their own terms. We are not responsible for outages or data losses on third-party services.

10. Disclaimers

The service is provided "as is" without warranties of any kind. We do not guarantee:

• That the service will be uninterrupted or error-free
• That AI-generated content (CVs, cover letters, scoring, recommendations) is accurate, complete, or suitable for any specific purpose
• That contact information found via the Researcher Agent is accurate or current
• Any specific outcomes from using the service (e.g. interview invitations, replies, job offers)

You are solely responsible for reviewing all AI-generated content before relying on or sending it.

11. Limitation of liability

To the maximum extent permitted by law, our total liability to you in any 12-month period is limited to the amount you have paid us in the preceding 12 months. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities.

This clause does not limit liability for death or personal injury caused by our negligence, or for fraud.

12. Termination

We may suspend or terminate your account at any time if you breach these terms. You may close your account at any time via Settings > Account. Upon closure, your data is deleted as described in our Privacy Policy.

13. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email or in-app. Continued use after a change constitutes acceptance.

14. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
